Is limited partnership still atractive for entrepreneurs?

The plans of constituting corporate income tax for limited partnerships and limited joint stock partnerships were widely discussed last year. However, finally the amendment to the Tax Ordinance Act has left limited partnerships free from corporate income tax. A great astonishment is the fact that despite the plans of the Ministry of Finance limited partnerships have not lost their popularity. According to Main Statistical Office data there were 12 658 registered limited partnerships on 31st December 2013, which means that the growth amounted to 20,6% in comparison to the last year. The result is lower than in last years but still surprisingly high, taking into consideration disadvantageous draft amendments of the Ministry of Finance in the background at that time. Therefore it can be definitely stated that Polish entrepreneurs have also appreciated some other (except single taxation) advantages of a limited partnership. Accordingly, I will try to answer the question: what is the individuality of a limited partnership about? I will also consider the issue – if existing legal forms of business activity can be transformed into limited partnership and what advantages speak for that solution.
