Abstract
In this article, the authors analyse a research problem that is highly important from the perspective of trade in real property in practice, which is the update to the right of first refusal regarding real property covering land under inland standing waters in the event of a sale of a right of perpetual usufruct of said real property – a pre-emption right reserved for the State Treasury under Article 217(13) of the Water Law. The research problem analysed boils down to the question of updating the right of first-refusal under Article 217(13) of the Water Law in the event of a sale of the right of perpetual usufruct of real property covering land under inland standing waters. The significance of the findings in this regard stems from the consequence of violating statutory rights of first refusal, that is, the invalidation of the sales contract (Article 599 of the Civil Code). So far, this issue has not seen broader doctrinal consideration. There is also not much relevant case-law concerning Article 217(13) of the Water Law. Within the framework of their analysis, the authors use the historical method and the dogmatic method; they also review and critique literature and case-law. Through the historical interpretation, they analyse materials from legislative works. Using the dogmatic method, they provide a linguistic, systemic and functional interpretation of the relevant legal provisions. Furthermore, they compare the practice of regulating provisions establishing the statutory right of first refusal regarding real property and land other than real property covering land under inland standing waters. As part of their review and critique of literature, the authors present the views expressed in case-law and doctrine with regard to issues of import for the interpretation of the relevant legal provisions applicable in the course of the exegesis. The conclusion yielded is that there has been no update to the right of first refusal under Article 217(13) of the Water Law in the event of a sale of a right of perpetual usufruct of a real property covering land under inland standing waters. The findings are a basis for limiting the application of the right of first refusal solely to cases in which it is the right of ownership to a real property covering land under inland standing waters that is subject to sale.
